Promisely Terms of Service

1. Agreement

These Terms of Service ("Terms") are between you and ZHIYANG LI ("Promisely", "we", "us", or "our"). They govern your use of the Promisely mobile application and related services (the "Service"). By creating an account or using the Service, you agree to these Terms and our Privacy Policy.

If you do not agree, do not use the Service.

2. Eligibility and accounts

You must be at least 16 years old and able to enter into a binding agreement in your jurisdiction. You must provide accurate account information, keep your credentials confidential, and promptly notify us at promiselysupport@gmail.com of unauthorized use. You are responsible for activity on your account except where caused by our failure to use reasonable security measures.

3. The Service

Promisely helps users organize commitments, submit completion proof, and participate in accountability and reward features. We may change, suspend, or discontinue features when reasonably necessary, including to improve security, comply with law, or maintain the Service.

Promisely is not a medical, financial, legal, emergency, or professional advice service. Task completion, proof review, rewards, and reminders are not guaranteed and should not be relied on as a substitute for professional judgment.

4. Your content and proof

You retain ownership of content you submit, including text, images, and videos ("User Content"). You grant us a non-exclusive, worldwide, royalty-free license to host, reproduce, process, display, and use User Content only as necessary to operate, secure, support, improve, and administer the Service, including showing proof to authorized reviewers under the product workflow.

You represent that you have the rights and permissions needed to submit User Content. Do not submit content that is unlawful, infringing, deceptive, defamatory, invasive of privacy, harmful, or otherwise prohibited by these Terms. Do not submit proof that is fabricated, misleading, or intended to manipulate reviews or rewards.

5. Acceptable use

You must not:

• use the Service unlawfully or for another person without authorization;
• interfere with, probe, bypass, or disrupt the Service, its security, or another user’s account;
• scrape, reverse engineer, or use automated means to access the Service except where law prohibits this restriction;
• upload malware, infringing content, or content that violates another person’s rights;
• impersonate others, misrepresent task completion, or abuse reward or subscription systems; or
• use the Service to send spam, harassment, threats, or discriminatory content.

6. Paid subscriptions and App Store purchases

Certain features may require a paid subscription, including Promisely Pro. Purchases made through Apple are governed by Apple’s applicable terms and billing rules. Apple processes payment and subscription management; we do not receive your full payment-card details.

Prices, trial terms, renewal terms, and any applicable taxes are presented before purchase. Unless Apple tells you otherwise, subscriptions renew automatically until you cancel them in your Apple account settings. Deleting a Promisely account does not cancel an App Store subscription. Refund requests for App Store purchases must be made through Apple, subject to its policies.

Promisely may award points for qualifying completion. Points are not cash, are not transferable, and expire six months after award. They may be redeemed only for an eligible Apple-configured monthly subscription promotional offer, are worth up to USD 1 per point, and may reduce any one offer by no more than 3 points or USD 3. Points cannot be used to change an automatic-renewal price outside an Apple-configured offer and have no cash value.

7. Feedback

If you send us suggestions, ideas, or feedback, you allow us to use them without restriction or compensation, except where prohibited by law. This does not take away your rights in personal information, which are addressed in the Privacy Policy.

8. Intellectual property

The Service, including its software, design, trademarks, and content we provide, is owned by or licensed to ZHIYANG LI and is protected by law. Subject to these Terms, we grant you a limited, personal, non-transferable, revocable right to use the Service for its intended purpose.

9. Suspension and termination

You may stop using the Service at any time and may request account deletion from Account → Delete account. We may suspend or terminate access where we reasonably believe you breached these Terms, created risk for the Service or others, or where required by law. Sections that should survive termination, including intellectual-property, disclaimer, limitation-of-liability, dispute, and payment provisions, will survive as allowed by law.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT TASKS, REMINDERS, REVIEWS, OR REWARDS WILL PRODUCE A PARTICULAR OUTCOME. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THIS SECTION MAY NOT APPLY TO YOU.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZHIYANG LI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY.

To the maximum extent permitted by law, our total liability for claims arising from or relating to the Service will not exceed the subscription fees you paid to us for the Service during the 12 months before the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

12. Indemnity

To the extent permitted by law, you will indemnify and hold harmless ZHIYANG LI from claims, losses, and expenses arising from your unlawful use of the Service or your breach of these Terms.

13. Changes

We may update these Terms. If a change is material, we will provide reasonable notice through the Service or another appropriate method. Your continued use after the effective date means you accept the updated Terms, unless applicable law requires another form of consent.

14. Governing law and disputes

These Terms are governed by the laws of the People's Republic of China, excluding conflict-of-law rules. Courts with jurisdiction in Changsha, Hunan, China will have jurisdiction, except where applicable consumer law gives you the right to bring a claim elsewhere. Nothing in these Terms affects any rights you have under mandatory consumer-protection laws in your place of residence.
